These Discord Self-Service Advertising Terms (these “Self-Service Advertising Terms”) govern your access to and use of the Discord Self-Service Ads Services (the “Ads Services”) to create, manage, and run advertising on Discord. They are entered into by Discord Inc. (“Discord,” “we,” or “us”) and the entity that accepts them (“Advertiser,” “you,” or “your”).
You may access the Ads Services through the Ads Manager, Discord’s self-service advertising interface. References in these Self-Service Advertising Terms to the Ads Manager describe a means of accessing the Ads Services and do not limit these terms to interface-based access.
These Self-Service Advertising Terms are subject to, and incorporate by reference, the Advertising Business Services Terms (the “Business Terms”), together with the Ads Policy and, to the extent you use them, the Attribution & Measurement Terms, the Custom Audience Terms, and the Events API Terms. Capitalized terms not defined here have the meaning given in the Business Terms.
Any product-specific terms made available in or linked to these Self-Service Advertising Terms apply when you use that product and such product terms control over any general terms for that product to the extent of any conflict. These Self-Service Advertising Terms control over the Business Terms solely as to their subject matter. The Discord Advertising IAB Addendum governs managed advertising and does not apply to self-service advertising.
Section 1: Definitions
In these Self-Service Advertising Terms:
“Ad” means advertising or other commercial content you create, submit, or run through the Ads Services.
“Ads Account” means the advertising account established and maintained under a Team and used to configure, run, and pay for Ads Campaigns.
“Ads Manager” means Discord’s self-service advertising interface, as made available from time to time, through which you may access the Ads Services.
“Ads Services” means the self-service advertising services Discord makes available, including the Ads Manager, Ads-related APIs, and the other tools and interfaces through which you access them, whether through the interface, an API, or an authorized partner.
“Campaign” means an advertising campaign configured through the Ads Services.
“Order” means your submission through the Ads Services to run a Campaign, including its budget and, where applicable, bid.
“Reward” means the Discord Orbs or other in-platform reward Discord makes available to users in connection with advertising on Discord.
"Team" means your Discord team (the same team construct used across Discord's developer surfaces, including the Developer Portal) which you access using your Discord account and which serves as the account through which you accept these Self-Service Advertising Terms, provide and maintain your business information (such as your legal business name and tax identification), manage members and their roles, and establish and hold one or more Ads Accounts in the Ads Manager. Team roles, including the Owner and Admin roles, have the meaning given in the Developer Portal.
Section 2: Account Registration and Access
a. Eligibility and Registration. To use the Ads Manager, you must establish and maintain a Team and at least one Ads Account under that Team, and you must provide accurate and current business, registration, and billing information, including your legal business name and tax identification. You must be able to form a binding contract and meet any eligibility requirements Discord sets. Discord may approve, decline, or condition a Team or Ads Account in its discretion. A Team and its Ads Accounts may be established and operated by an Advertiser for itself, or by an agency or other authorized party on behalf of one or more Advertisers, as described below.
You accept these Self-Service Advertising Terms at the Team level, and your acceptance applies to the Team and every Ads Account under it. Only an individual who holds an Owner or Admin role on the Team — a role with authority to manage the Team and its settings — is authorized to accept these Self-Service Advertising Terms on the Team's behalf. By accepting, you represent that you hold an Owner or Admin role on the Team and that you have authority to bind the entity on whose behalf you accept; "you," "your," and "Advertiser" refer to that entity as well as to the individual accepting. Your acceptance binds that entity whether or not the Ads Manager restricts which role may accept.
If you accept these Self-Service Advertising Terms without authority to bind the entity on whose behalf you purport to accept, you are personally bound by, and liable under, these Self-Service Advertising Terms as the Advertiser for all Campaigns, Orders, charges, and other activity under the Team and its Ads Accounts, to the same extent as if you were the Advertiser.
b. Responsibility for the Team and Ads Account(s). You are responsible for your Team and all activity under it and under each of your Ads Accounts, including the acts and omissions of every individual, agency, or other party you authorize to access or operate your Team or any Ads Account, and all Campaigns, Orders, and charges. Keep your credentials secure and promptly tell Discord of any unauthorized use. You are also responsible for monitoring your Team and each Ads Account and all Campaigns, Orders, and modifications (whether made by you, by a party you authorize, or by Discord on your behalf) including all Campaign settings, targeting, budgets, bids, and creative, any settings or parameters configured on your behalf before you accept these Self-Service Advertising Terms, and any changes made during a Campaign, and for promptly reviewing your billing statements and charges for accuracy.
c. Authorized Users. You manage members and their access at the Team level through Team roles, and only an Owner or Admin may add, remove, or change the access of members. You may authorize individuals to access your Team and one or more Ads Accounts, and you are responsible for managing and revoking their access and for their compliance with the Terms.
d. Advertisers Granting Access. If you authorize an agency or other party to access or operate your Team or any Ads Account, for all or specific Campaigns, you remain responsible for all activity under your Team and Ads Accounts, you control the scope and revocation of that access, you authorize that party to submit Orders, instructions, and approvals within that scope, and you will ensure it complies with the Terms. Granting access does not reduce your obligations. As the Advertiser, you are responsible for establishing your Team and Ads Account(s) and for accepting these Self-Service Advertising Terms, and you remain responsible and liable for all acts and omissions of any agency or other party you authorize, and for all Campaigns, Orders, charges, and other activity under your Team and Ads Accounts, to the same extent as if you had taken those actions yourself. Where an agency or other party will act on your behalf, Discord may require that you establish the Team and Ads Account(s) and accept these Self-Service Advertising Terms, that the agency or other party separately accept these Self-Service Advertising Terms, and that you then authorize it to access and act within your Team and its Ads Accounts; if the Ads Manager does not support a particular authorization method, Discord may require alternative evidence of your authorization. At Discord's request, you will promptly provide written confirmation that you have authorized a party to act on your behalf and of the scope of that authorization.
e. Agencies Acting for Advertisers. If you establish or operate a Team or Ads Account, or run Campaigns, on behalf of one or more other parties (for example, as their agency), you represent for each that you are authorized to act for and bind that party to the Terms and that your acts and omissions are within the scope of your authority. Each such party is an "Advertiser" under the Self-Service Advertising Terms. You are responsible for each Advertiser's compliance with the Self-Service Advertising Terms. If you do not have authority to bind an Advertiser, or that Advertiser does not separately accept these Self-Service Advertising Terms, you are directly and personally bound by, and liable under, the Self-Service Advertising Terms as the Advertiser for all Campaigns, Orders, charges, and other activity associated with that Advertiser. At Discord's request, you will promptly provide written confirmation of your relationship with, and authority to act for and bind, each Advertiser, and Discord may require other reasonable evidence of your authority.
f. Multiple Advertisers. If you manage Campaigns for more than one Advertiser, you will accurately associate each Campaign and Order with the correct Advertiser, and the representations in this Section apply to each.
g. Reliance. Discord may treat any Order, instruction, or approval submitted through your Team or any Ads Account as authorized by you and by any Advertiser on whose behalf you act.
h. Discord-Operated Service. Where Ads Manager features are limited or unavailable, or at your request, Discord may access and operate your Team and Ads Account on your behalf, including to provide and configure your business, registration, and billing information, establish and manage your Ads Account, manage users and roles, and create, configure, submit Orders for, manage, optimize, or cancel Campaigns. Discord does so as a service and not as your agent; Discord's operation of your Team or Ads Account does not make Discord a party to, or liable as the Advertiser under, these Self-Service Advertising Terms, and does not reduce your obligations. You remain responsible and liable for your Team, your Ads Account, and all Campaigns, Orders, charges, settings, and other activity, whether configured or submitted by you or by Discord on your behalf (including before you accept these Self-Service Advertising Terms), to the same extent as if you had taken those actions yourself. Discord's operation does not substitute for acceptance of these Self-Service Advertising Terms by an Owner or Admin of your Team under Section 2(a). You may direct Discord to stop operating your Team or Ads Account at any time, and Discord may decline or discontinue this service in its discretion.
Section 3: Using the Ads Services
a. License. Subject to the Self-Service Advertising Terms, Discord grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Ads Services to create and manage your own Campaigns. Discord reserves all rights not expressly granted.
b. Configuration. You configure Campaigns in the Ads Manager, including the product, available targeting, budget, and bid, and you are responsible for your configuration and for all Ads, content, and destinations.
c. Orders and Acceptance. When you submit an Order, you tell Discord the advertising you want to run, your spend, and, where applicable, your bid. Discord may accept or decline an Order and runs accepted Campaigns as inventory and availability allow.
d. Auction and Pricing. Charges are based on the applicable billing metric for the product, including, where applicable, your bid in an auction. Auction, bidding, and pricing mechanics are described in the Ads Manager or applicable documentation; product-specific pricing is in the product terms. Bids, rates, and Charges may vary and change over time based on the auction and other factors, and any modification to a Campaign may affect the applicable rate and your Charges.
e. Campaign Modifications. Unless otherwise agreed by the parties, you may modify a Campaign, including pausing or cancelling it, at any time through the Ads Manager. A modification or cancellation may take a period of time to take effect, and you will be liable for all Charges incurred until the modification or cancellation is effective.
f. Discord-Operated Campaigns. Some Ads Manager features may be limited or unavailable, and Discord may set up, manage, or optimize Campaigns on your behalf as a service; where it does, the Campaign remains subject to the Terms and your obligations are not reduced. Discord may also access and operate your Ads Account on your behalf as provided in Section 2(h).
g. Ad Review and Approval. All Ads and Campaigns are subject to Discord’s review and the Ads Policy, and Discord may reject, remove, or decline to run any Ad or Campaign in its discretion.
h. Your Responsibility for Ads, Targeting, and Compliance. You are solely responsible for your Ads and ad materials, the products and services you advertise, your landing pages and other destinations, and your targeting, bidding, trafficking, and other Campaign decisions, including those you make or change in real time through the Ads Manager and without Discord’s review of each Campaign. You are responsible for ensuring that your Ads and Campaigns, and the foregoing, comply with the Self-Service Advertising Terms, the Ads Policy, and all applicable laws, and that all claims and information in your Ads are accurate and not misleading. Discord’s review of, or decision to run, an Ad or Campaign does not relieve you of these responsibilities or constitute approval of your compliance.
i. Automated and AI Features. Discord may make available automated or AI-assisted features that generate, suggest, or optimize creative, bids, budgets, targeting, or other Campaign settings. Any output of these features is generated by automated means and is not tested, verified, or guaranteed by Discord to be accurate, complete, or compliant. You are responsible for reviewing and approving any AI-generated or AI-suggested content, targeting, or modification before it is used in, or applied to, your Campaigns, and your use of these features does not reduce your responsibilities or obligations under the Terms, including those in the preceding subsection.
j. Content License. You grant Discord a non-exclusive, worldwide, royalty-free, sublicensable license to host, use, display, reproduce, and adapt (including resizing) the Ads, content, and marks you provide, as needed to deliver your Campaigns and provide and improve the advertising services. You retain your content and marks; Discord retains the Ads Manager, Rewards, and its data and measurements.
k. Beta and Experimental Features. The Ads Manager, and some products, features, or campaign types, may be offered on a beta, pilot, or experimental basis, and Discord may test, change, or discontinue them. Beta and experimental features are provided “as is” and “as available,” may not function as described, and Discord has no liability for them beyond what the Self-Service Advertising Terms, or applicable product terms, provide.
l. Feedback. If you give Discord feedback, suggestions, or ideas about the Ads Manager or the advertising services, Discord may use them for any purpose without restriction or obligation to you, and you grant Discord a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate them.
m. Rewards. Where Discord makes a Reward available to users in connection with your advertising, the Reward is Discord Orbs unless Discord specifies otherwise. Discord Orbs are redeemable only within Discord, have no cash value, and are governed by the Discord Orbs Terms in Discord’s Paid Services Terms. Discord administers and delivers Rewards to users; you have no liability to users for Rewards, and your payment for advertising is not a payment to any user. Discord may modify, substitute, or discontinue Rewards, which will not affect amounts owed for advertising already delivered.
Section 4: Prohibited Uses
In addition to the restrictions in the Business Terms, you will not: use the Ads Services other than as permitted; interfere with or disrupt them; access them by unauthorized means or circumvent their controls; use any robot, spider, scraper, or other automated means, or any data extraction, data mining, or harvesting technique, to access the Ads Services or extract data from them except as Discord expressly permits; misrepresent your identity or authority; use them to build a competing product; or use data obtained through them except as the Terms permit, including the restriction on using such data to train any AI or machine-learning model.
Section 5: Fees and Payment
a. Charges. You will pay all charges for your Campaigns, based on the applicable billing metric and Discord’s measurements (Section 6).
b. Budgets and Spend Controls. You may set budgets and spend controls in the Ads Manager. Actual spend may vary from, and may exceed, a stated budget within a reasonable tolerance due to the timing of measurement and delivery, and Discord will not knowingly charge you more than your budget.
c. Invoicing. Unless otherwise agreed, Discord will invoice you, and you will pay undisputed amounts within thirty (30) days of the invoice date.
d. Credit and Invoiced Billing. Discord will bill your Campaigns on an invoiced basis as provided in subsection (c). Discord may obtain credit authorizations, set and adjust credit limits, and condition or require continued eligibility for invoiced billing in its discretion. Where you apply for or use invoiced billing, Discord may obtain business credit reports about you and use them to assess your eligibility and to set or adjust your credit limit. Discord may make additional payment methods available in the future, and if it does, the terms governing those methods will apply when they are made available to you.
e. Taxes. Amounts exclude any applicable taxes. You are responsible for any taxes, levies, or duties that apply to your Campaigns, including withholding taxes, (other than taxes on Discord’s net income,) and you will pay amounts due to Discord without reducing them for any such taxes. You will indemnify Discord for any claim arising from your failure to pay or remit taxes you owe.
f. Late Payment. If you do not pay undisputed amounts when due, Discord may charge interest on the overdue amount at 1.5% per month, or the maximum rate permitted by applicable law if lower, from the due date until paid. You will reimburse Discord’s reasonable costs of collection, including reasonable attorneys’ fees, and Discord may use a third party to collect overdue amounts.
g. Billing Disputes. If you believe an invoice or charge is incorrect, you must notify Discord within thirty (30) days after the invoice or charge date, with reasonable supporting detail; charges not disputed within that period are final. Except as required by law or as the Terms expressly provide (for example, a credit under a product term), amounts invoiced and paid are non-refundable.
h. Promotional Credits. Discord may offer promotional or advertising credits, which you may apply to eligible charges subject to any terms Discord specifies. Unless stated otherwise, credits are time-limited, have no cash value, are non-transferable, cannot be combined with other offers, and may be modified or revoked by Discord, and Discord’s decisions on the allocation and use of credits are final.
Section 6: Measurement and Reporting
Discord’s measurements are the authoritative basis for delivery and charges. Discord may provide reporting for your internal use, which is Discord’s Confidential Information and which you may disclose only as permitted in Section 10. While You may receive reports from approved measurement partners, such reports do not control billing, and Discord’s measurements control in the event of a discrepancy. Processing of personal data for measurement is governed by the Attribution and Measurement Terms. Where you, or an agency or other party acting on your behalf, transmit event, conversion, or similar data to Discord through the Discord Events API or a comparable integration in connection with Campaigns, the Events API Terms (or other terms Discord makes available for that integration) govern that data, together with these Self-Service Advertising Terms and the Attribution & Measurement Terms.
Section 7: No Guarantee; Placement Discretion
Self-service advertising is provided “as is” and “as available.” Discord does not guarantee any level of delivery, reach, results, or other outcomes, and estimates (including any estimated or projected CPM, CPC, or CPA rates, conversion volumes, audience sizes, and campaign performance) are not binding. Discord has sole discretion over whether, when, where, and to which users Ads are shown, including placement, targeting, frequency, and delivery, and may suspend or cease delivery at any time. Except as a product term expressly provides, Discord is not required to provide any makegood or credit for failing to deliver an estimated level of delivery.
Section 8: Invalid Activity
a. Discord may monitor for, identify, and exclude invalid, fraudulent, automated, or otherwise non-genuine activity affecting Campaigns (“Invalid Activity”), by automated or manual means. Invalid Activity includes activity generated by bots, automated scripts, emulators, or click farms; activity resulting from hijacked devices or falsified device, location, or identity signals; and activity that is fraudulent or generated through deception. Discord does not warrant that it will identify or exclude all Invalid Activity.
b. Invalid Activity is not billable, and Discord’s determination is final for charges, subject to any reconciliation in the Terms or a product term. Product terms may add product-specific Invalid Activity provisions, which control for that product. Discord’s sole obligation with respect to Invalid Activity that affects charges is to adjust or credit amounts as set out in the Self-Service Advertising Terms or the applicable product terms, and Discord has no further liability for Invalid Activity, including activity it does not detect or filter.
c. You will reasonably cooperate with Discord in connection with the detection and investigation of Invalid Activity.
d. Where Discord makes a Reward available to users in connection with advertising, the fact that a Reward is offered, or that a user may be motivated by it, does not by itself make activity Invalid Activity; Invalid Activity instead means activity that is automated, fraudulent, falsified, or otherwise not a genuine user’s good-faith engagement. Discord may withhold or revoke Rewards, and exclude or adjust affected Charges, for Invalid Activity. You acknowledge that where Discord makes a Reward available to users in connection with advertising, any related inventory is incentivized and that Discord’s measurements and reporting may identify and account for it as such.
Section 9: Suspension and Termination
Discord may suspend, limit, or terminate your access to the Ads Services, any Campaign, or these terms as set forth in the Business Terms or for any violation of the Terms. You may stop using the Ads Services at any time. You remain responsible for amounts incurred before termination, and provisions that should survive will survive.
Section 10: Confidentiality
Without limiting the Business Terms, you will not disclose Discord’s non-public pricing, bid or auction information, or non-public performance or reporting data relating to your use of the Ads Services, except as the Business Terms permit. Notwithstanding the foregoing, you may disclose performance and reporting data relating to your own Campaigns to your service providers and measurement partners acting on your behalf, provided that Discord has approved any measurement partner that will receive such data (such approval not to be unreasonably withheld), solely to measure, verify, or analyze the performance of your Campaigns and subject to confidentiality obligations at least as protective as these Self-Service Advertising Terms, and you remain responsible for each recipient's compliance. You will not publish that data publicly or disclose it to any other advertiser, agency, or advertising network, and you will require each recipient to use it solely to provide measurement, verification, or analysis to you and not to further disclose it. You, your service providers, and your measurement partners will retain that data only as long as needed for those purposes and will delete it when it is no longer needed. This Section does not permit disclosure of Discord's Attribution Results, which are governed by the Attribution & Measurement Terms.
Section 11: Representations and Warranties
In addition to the Business Terms, you represent and warrant that: (a) you have the right and authority to enter into the Self-Service Advertising Terms and to advertise the products, services, and destinations in your Campaigns; (b) you own or have all rights, licenses, and consents necessary to provide the Ads, content, and marks you submit and to grant the license in Section 3; (c) your Ads, content, and destinations comply with the Self-Service Advertising Terms and applicable law and do not infringe or misappropriate any third-party rights; (d) the information you provide is accurate; and (e) you will not engage in, encourage, or facilitate Invalid Activity, and your destinations and applications are not designed or operated to generate it; and (f) any measurement or Events API integration you use is implemented and operated in accordance with such products respective terms, Discord’s technical specifications and documentation, and the event data you transmit is accurate, complete, and not generated by automated, fraudulent, or deceptive means.
Section 12: Other Terms
a. Indemnification; Liability. The indemnification and limitation of liability provisions of the Business Terms apply to these Self-Service Advertising Terms and your use of the Ads Services, as well as any self-service advertising products. Without limiting those provisions, you will indemnify Discord for claims arising out of your Ads, content, marks, and destinations, your targeting, bidding, and trafficking decisions, your landing pages and destination URLs, the data you transmit to Discord (including through the Events API), the products and services you advertise, and your use of the Ads Services, except to the extent such claim is caused by Discord.
b. Disputes; Governing Law. The dispute resolution, governing law, and related provisions of the Business Terms apply to these Self-Service Advertising Terms and your use of the Ads Services, including the arbitration agreement and class-action waiver and the governing-law and venue provisions set out there. To the extent the Business Terms allow you to opt out of arbitration within a stated period measured from a signed insertion order or its effective date, for self-service advertising that period instead runs from the date you first accept these Self-Service Advertising Terms.
c. Modifications. Discord may modify these Self-Service Advertising Terms as set forth in the Business Terms, and your continued use of the Ads Manager or Ad Services after the effective date is considered acceptance.
d. Entire Agreement. These Self-Service Advertising Terms, including any Supplemental Ads Terms under Section 13, supplement the Business Terms and the other Terms and are the entire agreement on self-service advertising, superseding any prior agreement on that subject.
e. Notices and Electronic Communications. Discord may give you notices about the Ads Manager and these terms through the Ads Manager, by email to your account address, or by other reasonable means, and you consent to receive communications, including invoices, electronically. You will keep your account contact and billing information accurate and current.
Section 13: Supplemental Ads Products and Services
You may choose to use products, services, features, and tools that Discord makes available to supplement the Ads Services (collectively, “Supplemental Ads Products and Services”). Discord may modify, suspend, terminate access to, or discontinue any Supplemental Ads Product and Service at any time in its discretion. If you use any Supplemental Ads Product and Service, your use is subject to the additional terms and policies Discord makes available for it, and your continued use indicates your acceptance of those terms and policies (collectively, “Supplemental Ads Terms”). A Supplemental Ads Term controls over these Self-Service Advertising Terms for the applicable Supplemental Ads Product and Service to the extent of any conflict.
Discord’s Supplemental Ads Products and Services and the applicable Supplemental Ads Terms include:
Discord-Operated Services (Discord setting up, managing, optimizing, or operating your Team, Ads Account, or Campaigns on your behalf): governed by Section 2(h) and Section 3 of these Self-Service Advertising Terms.
Data tools that import data to, or export data from, the Ads Services (including Custom Audiences, measurement and reporting tools, pixels, postback URLs, and software development kits): governed by the Attribution & Measurement Terms, or the Custom Audience Terms, as applicable.
Ads-related APIs (including the Events API and any other advertising API Discord makes available): governed by the Events API Terms (or other terms Discord makes available for that API) and the applicable API documentation.
You agree to be bound by these Self-Service Advertising Terms and any applicable Supplemental Ads Terms when you access or use the applicable Supplemental Ads Product and Service.
